Board of Directors

The Chamber is governed by a Board of Directors elected in accordance with the Bylaws.

Composition

How the Board is constituted

  • Not fewer than 7 and not more than 21 Directors (Bylaws, Article IV).
  • Directors serve a three-year term, staggered thereafter.
  • Limit of three consecutive terms.
  • Attendance at not less than four Board meetings per year.
  • Fiduciary duties of care and loyalty, including compliance with the Conflict of Interest Policy.
  • Service without compensation, though reasonable expenses are reimbursable.
  • Directors are drawn from a range of industries and, where possible, ties to different African regions and California business communities.
  • Board candidates need not be Founding Members, and Founding Members are not obligated to seek a Board seat.
